Default another razor 32 crash

I get this in my system log when I try to launch razor (beta 32)

"Application popup: Razor.exe - Application Error : The application failed to initialize properly (0xc0000005). Click on OK to terminate the application. "

any clues? razor doesn't even create it's own error.log file..

You can have both the .NET 2.0 and .NET 1.1 installed on the same machine
